CONTRACT TITLE Hybrid Private 5G Network Extension (local UPF)

Article 1 Subject

The subject of the contract shall be the acquisition, installation and commissioning of the Hybrid Private 5G Network Extension (local UPF) as indicated in the Contractor’s offer, consisting from “Part I. Technical Offer” and “Part II. Financial Offer”, covering:

LOT 1 Technical solution for private 5G UTM hybrid network:

- 5G UPF system, including accessories and installation materials (1 pcs.);

- 5G gNodeB radio system, including accessories and installation materials (1 pcs.);

- SIM cards for the hybrid private 5G UTM network (20 pcs.);

- Annual support services for 5G UPF (2 years);

- Annual support services for gNodeB 5G (2 years).

1.2. The place of implementation shall be Technical University of Moldova, 168 Stefan cel Mare Avenue, Chisinau, Republic of Moldova. The Incoterm applicable shall be DAP. The implementation period of tasks shall runs from date from signing the contract.

1.3. The implementation period shall run from the date of signature of the contract by both parties. The contract is structured in two phases, as defined in section 5.1 of the Task Book:

(a) Implementation Phase – begins with the date of contract signature and shall not exceed 7 (seven) months from the start of the contract, in accordance with section 5.1.1 of the Task Book.

Within this phase:

5G radio coverage of the UTM laboratory room shall be ensured within a maximum of 2 (two) months from the start of the contract (subject to availability of the dedicated spectrum at the time of contract signing);

(ii) complete delivery of the 5G UPF and its integration with the installed 5G radio system shall be completed within 7 (seven) months from the start of the contract.

(b) Exploitation Phase – begins upon formal validation of the service by UTM following completion of the Implementation Phase, and extends until the end of month 24 (twenty-four) from the date of contract signature, giving a total contract duration of 2 (two) years, in accordance with section 5.1.2 of the Task Book. The starting month of the Exploitation Phase shall not exceed month 7 (seven) from the start of the contract.

1.4. The contractor shall comply strictly with the terms of the special conditions and the technical annex.

Article 2 Origin

There is no restriction on the origin of the supplies.

Article 3 Price

3.1 For this Contract, the VAT constitutes zero EUR according to the Government Decision no. 513 of 20.08.2025 point (87211916064), by which amendments were made to the Government Decision no. 246 of April 8, 2010 on the application of fiscal and customs facilities related to the implementation of ongoing technical and investment assistance projects, which fall under the scope of international treaties to which the Republic of Moldova is a party.

3.2 The price of the supplies shall be that shown on the financial offer (specimen in Annex IV). The total maximum contract price shall be EUR.<insert price>

3.3 Payments shall be made in accordance with the special conditions (Article 12.1).

Article 4 Order of precedence of contract documents

The contract is made up of the following documents, in order of precedence:

the contract agreement;

the technical specifications / Task Book;

the technical offer:

the budget breakdown (Annex IV);

- Financial Identity Form (Annex V).

The various documents making up the contract shall be deemed to be mutually explanatory; in cases of ambiguity or divergence, they shall prevail in the order in which they appear above.

Article 5 Other specific conditions applying to the contract

5.1. The contracting authority reserves the right to extend the exploitation/operation phase by mutual written agreement of both parties, subject to available funding and satisfactory performance.

5.2. Any modification to this contract shall be made by written amendment, signed by both parties.
